Common use of Survival and Assignment Clause in Contracts

Survival and Assignment. You agree that notwithstanding anything in this Agreement to the contrary, your obligations under this Agreement, specifically, but without limitation, Paragraph 8 of this Agreement, shall survive any termination of this Agreement and/or the relationship between you and the Company to the extent necessary to give effect to the subject provisions according to their terms. This Agreement shall be binding upon and inure to the benefit of your heirs and representatives and the assigns and successors of the Company, but neither this Agreement nor any rights or obligations hereunder shall be assignable by you. The Company shall have the right to assign this Agreement to any of its affiliates, successors, or related companies, whether now in existence or later formed.
