Common use of Survival and Notice Clause in Contracts

Survival and Notice. 15.1.1 The liability of Buyer under its representations and warranties contained in this Agreement shall survive the Closing and the execution and delivery of the assignments contemplated hereby. 15.1.2 The liability of Sellers under their representations and warranties contained in this Agreement shall survive the Closing and the execution and delivery of the assignments contemplated hereby until the second anniversary of the Closing.

Survival and Notice. 15.1.1 The liability of Buyer under its representations and warranties contained in this Agreement shall survive the Closing and the execution and delivery of the assignments contemplated hereby. 15.1.2 The liability of Sellers Seller under their its representations and warranties contained in this Agreement shall not survive the Closing and the execution and delivery of the assignments contemplated hereby, except that Seller’s representations and warranties in Sections 3.1, 3.2 and 3.3 shall survive the Closing and the execution and delivery of the assignments contemplated hereby until the second first anniversary of the Closing.
