Common use of Survival of Agreements, Representations and Indemnities Clause in Contracts

Survival of Agreements, Representations and Indemnities. The ------------------------------------------------------- respective indemnities of the Company, the Bank and the MHC and of Trident and the representations and warranties of the Company, the Bank and the MHC set forth in or made pursuant to this Agreement shall remain in full force and effect regardless of any termination or cancellation of this Agreement or any investigation made by or on behalf of Trident or the Company, the Bank or the MHC or any controlling person or indemnified party referred to in Section 5 hereof, and shall survive any termination of this Agreement and/or the issuance of the Shares. Any successor or assign of Trident, the Company, the Bank or the MHC, any controlling person and any legal representative of Trident, the Company, the Bank or the MHC shall be entitled to the benefit of the respective agreements, indemnities, warranties and representations contained in this Agreement.
