Common use of Survival of Agreements, Representations and Indemnities Clause in Contracts

Survival of Agreements, Representations and Indemnities. The respective indemnities of the Company, the MHC, the Mid-Tier Holding Company, the Bank and the Agent and the representations and warranties and other statements of the Company, the MHC, the Mid-Tier Holding Company, the Bank and the Agent set forth in or made pursuant to this Agreement shall remain in full force and effect, regardless of any termination or cancellation of this Agreement or any investigation made by or on behalf of the Agent, the Company, the MHC, the Mid-Tier Holding Company, the Bank or any controlling person referred to in Section 8 hereof, and shall survive the issuance of the Shares, and any successor or assign of the Agent, the Company, the MHC, the Mid-Tier Holding Company, the Bank, and any such controlling person shall be entitled to the benefit of the respective agreements, indemnities, warranties and representations.

Section 11.

The ------------------------------------------------------- respective indemnities of the Company, the MHC, Mutual Holding Company and the Mid-Tier Holding Company, the Savings Bank and the Agent Trident and the representations and warranties and other statements of the Company, the MHC, the Mid-Tier Mutual Holding Company, the Bank Company and the Agent Savings Bank, and Trident set forth in or made pursuant to this Agreement shall remain in full force and effect, regardless of any termination or cancellation of this Agreement or any investigation made by or on behalf of the Agent, Trident or the Company, the MHCMutual Holding Company and the Savings Bank, the Mid-Tier Holding Company, the Bank or any controlling person or indemnified party referred to in Section 8 hereof, and shall survive any termination or consummation of this Agreement and/or the issuance of the Shares, and any successor or assign legal representative of the AgentTrident, the Company, the MHC, Mutual Holding Company or the Mid-Tier Holding Company, the Savings Bank, and any such controlling person persons described in Section 8 above shall be entitled to the benefit of the respective agreements, indemnities, warranties and representations.
