Common use of Survival of Company’s Representations Clause in Contracts

Survival of Company’s Representations. All covenants, agreements, representations and warranties made by the Company herein shall, notwithstanding any investigation by the Buyer, be deemed material and relied upon by the Buyer and shall survive the making and execution of this Agreement and the sale and purchase of the Shares, and shall be deemed to be continuing representations and warranties until the earlier of (i) the two-year anniversary of the Closing and (ii) such time as the Company have fulfilled all of its obligations to the Buyer hereunder and under all other documents, and the Buyer has been indefeasibly paid in full.

Survival of Company’s Representations. All covenants, agreements, representations and warranties made by the Company herein shall, notwithstanding any investigation by the BuyerPurchasers, be deemed material and relied upon by the Buyer Purchasers and shall survive the making and execution of this Agreement and the Transaction Documents and the sale and purchase of the SharesPreferred Stock, and shall be deemed to be continuing representations and warranties until the earlier of (i) the two-year anniversary of the Closing and (ii) such time as the Company have fulfilled all of its obligations Obligations to the Buyer Purchasers hereunder and under all other documentsTransaction Documents, and the Buyer Purchasers has been indefeasibly paid in full.
