Common use of Survival of Indemnification and Advancement of Expenses Clause in Contracts

Survival of Indemnification and Advancement of Expenses. The indemnification and advancement of expenses provided by, or granted pursuant to, this Section 5.19 shall, unless otherwise provided when authorized or ratified, continue as to a Person who has ceased to be an Indemnified Person and shall inure to the benefit of the heirs, executors and administrators of such a person.

Survival of Indemnification and Advancement of Expenses. The indemnification and advancement of expenses provided by, or granted pursuant to, this Section 5.19 5.2 shall, unless otherwise provided when authorized or ratified, continue as to a Person person who has ceased to be an Indemnified Person and shall inure to the benefit of the heirs, executors and administrators of such a person.

The indemnification and advancement of expenses provided by, or granted pursuant to, this Section 5.19 3.12 shall, unless otherwise provided when authorized or ratified, continue as to a Covered Person who has ceased to be an Indemnified Person a Officer, Delegate, or Representative and shall inure to the benefit of the heirs, executors and administrators of such a personCovered Person.

The indemnification and advancement of expenses provided by, or granted pursuant to, this Section 5.19 3.14 shall, unless otherwise provided when authorized or ratified, continue as to a Covered Person who has ceased to be an Indemnified Person a Director or Officer and shall inure to the benefit of the heirs, executors and administrators of such a personCovered Person.

The indemnification and advancement of expenses provided by, or granted pursuant to, this Section 5.19 section shall, unless otherwise provided when authorized or ratified, continue as to a Person person who has ceased to be an Indemnified Person a director, officer or employee and shall inure to the benefit of the heirs, executors and administrators of such a person.

Survival of Indemnification and Advancement of Expenses. The indemnification and advancement of expenses provided by, or granted pursuant to, this Section 5.19 4.4 shall, unless otherwise provided when authorized or ratified, continue as to a Person person or entity who has ceased to be an Indemnified Person Indemnitee and shall inure to the benefit of the heirs, executors executors, administrators and administrators successors or permitted assigns of such a personperson or entity.
