Common use of Survival of Indemnification and Advancement of Expenses Clause in Contracts

Survival of Indemnification and Advancement of Expenses. The indemnification, defense and advancement of expenses provided by, or granted pursuant to, this Section 8 shall, unless otherwise provided when authorized or ratified, continue as to a person who has ceased to be a director or officer and shall inure to the benefit of the heirs, executors and administrators of such a person.

Survival of Indemnification and Advancement of Expenses. The indemnification, defense indemnification and advancement of expenses provided by, or granted pursuant to, this Section 8 13(b) shall, unless otherwise provided when authorized or ratified, continue as to a person who has ceased to be a director an officer, or officer employee and shall inure to the benefit of the heirs, executors and administrators of such a person.

The indemnification, defense indemnification and advancement of expenses provided by, or granted pursuant to, this Section 8 3.11 shall, unless otherwise provided when authorized or ratified, continue as to a person Covered Person who has ceased to be a director an Officer or officer Representative and shall inure to the benefit of the heirs, executors and administrators of such a personCovered Person.
