Common use of Survival of Indemnities, Contribution, Warranties and Representations Clause in Contracts

Survival of Indemnities, Contribution, Warranties and Representations. The respective indemnity and contribution agreements of the Company and the Underwriter contained in Sections 7 and 8 hereof, the representations, warranties, and covenants of the Company contained in Sections 1 and 4 hereof and the representations and warranties of the Underwriter contained in Section 14 hereof shall remain operative and in full force and effect, regardless of any termination or cancellation of this Agreement or any investigation made by or on behalf of the Underwriter or the Company or any of their respective directors or officers, or any controlling person referred to in said Sections 7 and 8, and shall survive the delivery of, and payment for, the Units.

The respective indemnity and contribution agreements of the Company and the Underwriter Warrant Conversion Agents contained in Sections Section 7 and 8 hereof, the representations, warranties, warranties and covenants of the Company contained in Sections 1 and 4 hereof herein and the representations and warranties of the Underwriter Warrant Conversion Agents contained in Section 14 hereof herein shall remain operative and in full force and effect, regardless of any termination or cancellation of this Agreement or any investigation made by or on behalf of the Underwriter any Warrant Conversion Agents or the Company or any of their respective directors or officers, or any controlling person referred to in said Sections 7 and 8Section 7, and shall survive the delivery of, payment for the Warrants and payment for, sale of the UnitsShares.
