Survival of Indemnities, Warranties, etc. The respective indemnities, convenants, agreements, representations, warranties, certificates and other statements of the Fund, the Manager and the Underwriter, as set forth in this Agreement or made by them, pursuant to this Agreement, shall remain in full force and effect, regardless of any investigation made by or on behalf of the Underwriter, the Fund, the Manager, or any of their officers or trustees or directors, or any controlling person, and shall survive delivery of and payment for the Shares. 9.
