Common use of Survival of Obligations Upon Termination of Agreement Clause in Contracts

Survival of Obligations Upon Termination of Agreement. Except as otherwise expressly provided for in this Agreement and in any of the other Credit Documents, no termination or cancellation (regardless of cause or procedure) of this Agreement or any of the other Credit Documents shall in any way affect or impair the powers, obligations, duties, rights, and liabilities of the Borrowers or Lender in any way or respect relating to (i) any transaction or event occurring prior to such termination or cancellation or (ii) any of the undertakings, agreements, covenants, warranties and representations of the Borrowers or Lender contained in this Agreement or the other Credit Documents. All such undertakings, agreements, covenants, warranties and representations shall survive such termination or cancellation and Lender shall retain its Lien on the Collateral and all of its rights and remedies under this Agreement, notwithstanding such termination or cancellation, until all Obligations of the Borrowers to Lender have been fully paid and satisfied and this Agreement is terminated.
