Common use of Survival of Purchaser’s Representations and Warranties Clause in Contracts

Survival of Purchaser’s Representations and Warranties. The representations and warranties of the Purchaser contained in this Agreement or any document or certificate given pursuant to this Agreement shall survive the Closing for the benefit of the Vendors for a period of three (3) years, unless a bona fide notice of claim shall have been made in writing before the expiry of that period, in which case the representation and warranty to which such notice applies shall survive in respect of that claim until the final determination or settlement of that claim.

Survival of Purchaser’s Representations and Warranties. The representations and warranties of the Purchaser contained in this Agreement or any document or certificate given pursuant to this Agreement shall survive the Closing Completion for the benefit of the Vendors Company for a period of three eighteen (318) yearsmonths following the Completion Date, unless a bona fide notice of a claim shall have been made given in writing before the expiry expiration of that period, in which case the representation and warranty to which such notice applies shall survive in respect of that claim until the final determination or settlement of that claim.

Survival of Purchaser’s Representations and Warranties. The representations and warranties of the Purchaser contained in this Agreement or any document or certificate given pursuant to this Agreement shall will survive the Closing and, notwithstanding such Closing, nor any investigation made by or on behalf of the Vendors, nor the receipt by the Vendors of any opinion, certificate or other document delivered to the Vendors hereunder will continue in full force and effect for the benefit of the Vendors for a period of three (3) years, 3 years following the Closing Date unless a bona fide notice of claim shall have been Claim is made in writing before the expiry of that period, in which case the representation and warranty to which such notice applies shall will survive in respect of that claim Claim until the final determination or settlement of that claimClaim.

Survival of Purchaser’s Representations and Warranties. The representations and warranties of the Purchaser contained in this Agreement or any document or certificate given pursuant to this Agreement shall survive the Closing for the benefit of the Vendors Vendor for a period of three (3) years, two years from the date hereof unless a bona fide notice of claim shall have been made in writing before the expiry of that period, in which case the representation and warranty to which such notice applies shall survive in respect of that claim until the final determination or settlement of that claim.

Survival of Purchaser’s Representations and Warranties. The representations and warranties of the Purchaser contained in Sections 4.2(a), (b), (c) and (e) of this Agreement shall survive indefinitely, and all others representations and warranties of the Purchaser in this Agreement or any document or certificate given pursuant to this Agreement shall survive the Closing for the benefit of the Vendors for a period of three eighteen (318) yearsmonths, unless a bona fide notice of claim shall have been made in writing before the expiry of that period, in which case the representation and warranty to which such notice applies shall survive in respect of that claim until the final determination or settlement of that claim.

Survival of Purchaser’s Representations and Warranties. The representations and warranties of the Purchaser contained in this Agreement or any document or certificate given pursuant to this Agreement shall survive the Closing for the benefit of the Vendors Vendors, in the case of Sections 5.1 and 5.2, indefinitely, and for the balance for a period of three twelve (312) years, months unless a bona fide notice of claim a Claim for indemnity pursuant to Section 6.3 shall have been made given in writing before the expiry of that period, in which case the representation and warranty to which such notice applies shall survive in respect of that claim Claim until the final determination or settlement of that claimClaim.

Survival of Purchaser’s Representations and Warranties. The representations and warranties of the Purchaser and Fossil U.S. contained in this Agreement or any document or certificate given pursuant to this Agreement shall survive the Closing for the benefit of the Vendors Vendor for a period of three (3) years, unless a bona fide notice of a claim shall have been made given in writing before the expiry of that period, in which case the representation and warranty to which such notice applies shall survive in respect of that claim until the final determination or settlement of that claim.

Survival of Purchaser’s Representations and Warranties. The representations and warranties of the Purchaser contained in this Agreement or any document or certificate given pursuant to this Agreement shall survive the Closing for the benefit of the Vendors Vendor for a period of three (3) years18 months, unless a bona fide notice of claim a Claim for indemnity shall have been made given in writing before the expiry of that period, in which case the representation and warranty to which such notice applies shall survive in respect of that claim Claim until the final determination or settlement of that claimClaim.

Survival of Purchaser’s Representations and Warranties. The representations and warranties of the Purchaser contained in this Agreement or any document or certificate given pursuant to this Agreement shall survive the Closing for the benefit of the Vendors indefinitely, except that with respect to the representations given in Sections 5.3 and 5.4, which representations shall survive for a period of three (3) years, unless a bona fide notice of claim a Claim shall have been made given in writing before the expiry of that period, in which case the representation and warranty to which such notice applies shall survive in respect of that claim Claim until the final determination or settlement of that claimClaim.
