Survival of Reoresentations and Warranties of the Seller. Subject to the limitations and other provisions of this Agreement, the representations and warranties of the Seller shall survive the Closing Date and shall remain in full force and effect for a period of twelve (12) months after the Closing Date (except the representations and warranties contained in Section 3.11 which shall remain in full force and effect until thirty (30) days after the applicable statute of limitations period has lapsed, and the representations and warranties contained in Sections 3.02 and 4.02 which shall survive indefinitely), unless notice is given pursuant to this Article in which case such representation shall survive until 30 days after the final adjudication and resolution.
