Common use of Survival of Representations and Indemnities Clause in Contracts

Survival of Representations and Indemnities. (a) All representations and warranties in a Transaction Document survive the execution and delivery of the Transaction Documents. (b) Each indemnity in this Agreement: (i) is a continuing obligation; (ii) is a separate and independent obligation; and (iii) survives termination or discharge of this Agreement.
