Common use of Survival of Representations and Warranties and Certain Obligations Clause in Contracts

Survival of Representations and Warranties and Certain Obligations. (a) All representations and warranties made hereunder and in any document, certificate or statement delivered pursuant hereto or in connection herewith shall survive the execution and delivery of this Agreement, the Note and the other Loan Documents. (b) The obligations of the Borrower under Sections 3.03 and 9.06 shall survive the payment of the Loan and all other amounts payable under the Loan Documents. The Lender’s determination of any amount or amounts owed by the Borrower to it under any such Section shall be presumed correct absent manifest error.
