Common use of Survival of Representations, Warranties and Agreements Clause in Contracts

Notwithstanding any investigation made by any party to this Agreement, all covenants, agreements, representations and warranties made by the Company and the Investor herein shall survive the execution of this Agreement, the delivery to the Investor of the Shares being purchased and the payment therefor.

Notwithstanding any investigation made by any party to this Agreement, all covenants, agreements, representations and warranties made by the Company and the Investor each Purchaser herein shall survive the execution of this Agreement, Agreement and the delivery issuance and sale to the Investor Purchasers of the Shares being purchased and shall terminate upon the payment thereforearlier of: (a) the sale of all of the Shares by the Purchaser pursuant to an effective registration statement or Rule 144 and (b) one (1) year following the Closing Date.

Notwithstanding any investigation made by any party to this AgreementAgreement or by the Placement Agent, all covenants, agreements, representations and warranties made by the Company Company, the Selling Stockholder and the Investor Purchaser herein and in the certificates for the Shares delivered pursuant hereto shall survive the execution of this Agreement, the delivery to the Investor Purchaser of the Shares being purchased and the payment therefor.

Survival of Representations, Warranties and Agreements. Notwithstanding any investigation made by any party to this Agreement, all covenants, agreements, representations and warranties made by the Company and the Investor herein shall will survive the execution of this Agreement, the delivery to the Investor of the Shares and Warrants being purchased and the payment therefortherefor at each Closing.

Survival of Representations, Warranties and Agreements. Notwithstanding any investigation made by any party to this Agreement, all covenants, agreements, representations and warranties made by the Company and the Investor herein shall will survive the execution of this Agreement, the delivery to the Investor of the Shares Units being purchased and the payment therefor.

Notwithstanding any investigation made by any party to this AgreementAgreement or by any of the Placement Agents, all covenants, agreements, representations and warranties made by the Company Partnership and the Investor herein shall will survive the execution of this Agreement, the delivery to the Investor of the Shares LP Units being purchased and the payment therefor.

Notwithstanding any investigation made by any party to this Agreement, all covenants, agreements, representations and warranties made by the Company and the Investor Purchasers herein shall survive the execution of this Agreement, the delivery to the Investor of the Shares being purchased and the payment therefor.
