Common use of Survival of Representations, Warranties and Covenants of JML Clause in Contracts

Survival of Representations, Warranties and Covenants of JML. The covenants, representations, and warranties of JML contained in this Agreement or in any agreement, certificate or any other document delivered or given pursuant to this Agreement shall survive the completion of the transactions contemplated by this Agreement and, notwithstanding such completion or any investigation made by or on behalf of Xxx Xxxxx, shall continue in full force and effect for the benefit of Xxx Xxxxx for a period of 1 year from the Closing Date.
