Common use of Survival of Representations, Warranties or Covenants Clause in Contracts

Survival of Representations, Warranties or Covenants. Except as set forth in the following sentence, none of the representations, warranties or covenants of the parties will survive the Effective Time or the earlier termination of this Agreement, and thereafter MainSource, 1st Independence, 1st Bank, and all the respective directors, officers and employees of MainSource, 1st Independence and 1st Bank will have no further liability with respect thereto. The covenants contained in Sections 5.09 (regarding confidentiality), 8.02, 8.03, 11.07, 11.09, 11.10 and 11.11 shall survive termination of this Agreement. The covenants contained in Sections 5.09 (regarding confidentiality), 5.14, 5.17, 6.03, 6.05, 6.06, 6.08, 6.09, 11.07, 11.08, 11.09, 11.10 and 11.11 shall survive the Effective Time.

The covenants contained in Sections 5.09 6.09 and 7.09 (regarding confidentiality), 5.146.14, 5.176.17, 6.037.03, 6.057.05, 6.067.06, 6.0812.07, 6.0912.08, 11.0712.09, 11.08, 11.09, 11.10 12.10 and 11.11 12.11 shall survive the Effective Time.

The covenants contained in Sections 5.09 6.09 (regarding confidentiality), 5.146.14, 5.176.18, 6.037.03, 6.057.05, 6.067.06, 6.0812.07, 6.0912.08, 11.0712.09, 11.08, 11.09, 11.10 12.10 and 11.11 12.11 shall survive the Effective Time.

The covenants contained in Sections 5.09 6.07 (regarding confidentiality), 8.029.02, 8.0312.08, 11.07, 11.09, 11.10 12.09 and 11.11 12.10 shall survive termination of this Agreement. The covenants contained in Sections 5.09 6.07 (regarding confidentiality), 5.1412.08, 5.17, 6.03, 6.05, 6.06, 6.08, 6.09, 11.07, 11.08, 11.09, 11.10 12.09 and 11.11 12.10 shall survive the Effective Time.

The covenants contained in Sections 5.09 (regarding confidentiality)5.9, 5.145.12, 5.17, 6.036.2, 6.056.4, 6.0610.5, 6.0810.7, 6.0910.8, 11.0710.9, 11.08, 11.09, 11.10 10.10 and 11.11 10.11 shall survive the Effective Time.
