Survival of Terms, Representations and Warranties. The representations, warranties, covenants, and agreements of the Parties under this Agreement, and the remedies of either Party for the breach of such representations, warranties, covenants, and agreements by the other Party shall survive the execution and termination of this Agreement. The terms of Sections 5.14, and 5.15 shall survive the expiration, termination or withdrawal from this Agreement.

Survival of Terms, Representations and Warranties. None of the terms, obligations, representations or warranties contained in this Agreement shall be deemed merged with the Closing of this Agreement or the execution of any documents contemplated hereunder but rather shall survive the Closing until the expiration or termination of such terms, obligations, representations and warranties by the written action of all parties hereto.

Survival of Terms, Representations and Warranties. The terms and conditions of this Agreement and the Representations and Warranties contained herein or incorporated by reference shall continue and survive the closing of this transaction and shall continue and survive the Loan Term and shall continue and survive thereafter and shall not terminate or expire until all of the Options to purchase stock in Inmold or stock in Inmold held by the Leader has been redeemed, notwithstanding payment of the Loan in full.

  • Survival of Representations and Warranties All representations and warranties made hereunder and in any other Loan Document or other document delivered pursuant hereto or thereto or in connection herewith or therewith shall survive the execution and delivery hereof and thereof. Such representations and warranties have been or will be relied upon by the Administrative Agent and each Lender, regardless of any investigation made by the Administrative Agent or any Lender or on their behalf and notwithstanding that the Administrative Agent or any Lender may have had notice or knowledge of any Default at the time of any Credit Extension, and shall continue in full force and effect as long as any Loan or any other Obligation hereunder shall remain unpaid or unsatisfied or any Letter of Credit shall remain outstanding.
