Common use of Survival of Warranties, Representations, Covenants and Agreements Clause in Contracts

Survival of Warranties, Representations, Covenants and Agreements. All warranties, representations, covenants, indemnities and agreements of the Corporation and the Underwriters herein contained or contained in documents submitted or required to be submitted pursuant to this Agreement shall survive the purchase by the Purchasers of the Units and shall continue in full force and effect for the benefit of the Underwriters and/or the Corporation for a period of two years from the Closing Date.

Survival of Warranties, Representations, Covenants and Agreements. All warranties, representations, covenants, indemnities and agreements of the Corporation and the Underwriters herein contained or contained in documents submitted or required to be submitted pursuant to this Agreement shall survive the purchase by the Purchasers Underwriters and Substituted Purchasers, as applicable, of the Units Offered Shares and shall continue in full force and effect for the benefit of the Underwriters Underwriters, Substituted Purchasers and/or the Corporation for a period of two years from the Closing Date.
