Common use of Survival; Reliance Clause in Contracts

Survival; Reliance. All agreements, representations and warranties made in this Agreement (and all agreements referred to or incorporated herein) will survive the execution of this Agreement (and all documents and agreements referred to or incorporated herein) and the making of the Loans and the execution and delivery of any notes. Notwithstanding anything in this Agreement (or any documents or agreements referred to or incorporated herein) to the contrary, no investigation or inquiry by any party with respect to any matter which is the subject of any representation, warranty, covenant or other agreement set forth herein or therein is intended, nor will it be interpreted, to limit, diminish or otherwise affect the full scope and effect of any representation, warranty, covenant or other agreement. All terms, covenants, agreements, representations and warranties of Borrowers made in any Loan Document, or in any certificate or other document delivered pursuant hereto will be deemed to be material and to have been relied upon by Lender, notwithstanding any investigation heretofore or hereafter made by Lender or its agents.

All terms, covenants, agreements, representations and warranties of Borrowers each Party made herein (or in any Loan Documentdocuments or agreements referred to or incorporated herein), or in any certificate or other document delivered or to be delivered pursuant hereto will shall be deemed to be material and to have been relied upon by LenderBank One, notwithstanding any investigation heretofore or hereafter made by Lender Bank One or its agents.
