Surviving License Sample Clauses

The Surviving License clause ensures that certain licensing rights granted under an agreement continue to remain in effect even after the agreement itself has been terminated or has expired. Typically, this means that any licenses to use intellectual property, such as software or copyrighted materials, that were granted during the term of the contract will persist according to their original terms, regardless of the contract’s end. This clause is crucial for providing ongoing rights and certainty to licensees, preventing disruption to their use of licensed materials after the main agreement concludes.
Surviving License. Effective upon (a) the expiration of the Term pursuant to Section 9.1 (but not the termination of this Agreement for any other reason), (b) Company’s payment in full of all obligations of Company arising prior to such date, and (c) Company’s compliance with all of Company’s obligations, both prior to and surviving such date, under this Agreement, Cornell hereby grants to Company a perpetual, fully paid-up, non-exclusive license to use the Works, the Technical Information and, if applicable, the Materials with respect to Licensed Products in the Field of Use in the Territory.
