Survivor’s Benefit Program. Company Employees shall cease to participate in Parent’s Survivor’s Benefit Program as of the Closing Date. On the Closing Date, the US Buyer or its Affiliates shall have in effect a plan which shall provide a survivor benefit and provisions that are identical to the survivor benefit and provisions applicable to those Company Employees covered under Parent’s Survivor’s Benefit Program as of the Closing Date, and the US Buyer or its Affiliates shall maintain that plan throughout the Continuation Period.
