Common use of Suspension of Solicitation Clause in Contracts

Suspension of Solicitation. The Company reserves the right, in its sole discretion, to suspend solicitation of offers to purchase the Notes commencing at any time for any period of time or indefinitely. Upon receipt of telephonic notice confirmed by facsimile notice from the Company, the Agents will forthwith suspend solicitation of offers to purchase Notes from the Company until such time as the Company has advised the Agents that such solicitation may be resumed. Upon receipt of notice from the Company as contemplated by Section 3(c) hereof, the Agents shall suspend their solicitation of offers to purchase Notes until such time as the Company shall have furnished them with an amendment or supplement to the Registration Statement or the Prospectus, as the case may be, contemplated by Section 3(c) and shall have advised the Agents that such solicitation may be resumed.
