Common use of Suspension or Termination Clause in Contracts

Suspension or Termination. In accordance with 24 CFR 85.43, the Grantee may suspend or terminate this Agreement if the Recipient materially fails to comply with any terms of this Agreement, which include (but are not limited to), the following: 1. Failure to comply with any of the rules, regulations or provisions referred to herein, or such statutes, regulations, executive orders, and HUD guidelines, policies or directives as may become applicable at any time; 2. Failure, for any reason, of the Recipient to fulfill in a timely and proper manner its obligations under this Agreement; 3. Ineffective or improper use of funds provided under this Agreement; or 4. Submission by the Recipient to the Grantee reports that are incorrect or incomplete in any material respect. In accordance with 24 CFR 85.44, this Agreement may also be terminated for convenience by either the Grantee or the Recipient, in whole or in part, by setting forth the reasons for such termination, the effective date, and, in the case of partial termination, the portion to be terminated. However, if in the case of a partial termination, the Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate the award in its entirety.

However, if in the case of a partial termination, the Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate the award in its entirety.

In accordance with 24 2 CFR 85.44200.213, this Agreement may also be terminated for convenience by either the Grantee or the RecipientSubrecipient, in whole or in part, by setting forth the reasons for such termination, the effective date, and, in the case of partial termination, the portion to be terminated. However, if in the case of a partial termination, the Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate the award in its entirety.

In accordance with 24 2 CFR 85.43Part 200 Subpart D §338-339, the Grantee may suspend or terminate this Agreement if the Sub-Recipient materially fails to comply with any terms of this Agreement, which include (but are not limited to), the following: 1. Failure to comply with any of the rules, regulations or provisions referred to herein, or such statutes, regulations, executive orders, and HUD guidelines, policies or directives as may become applicable at any time; 2. Failure, for any reason, of the Sub-Recipient to fulfill in a timely and proper manner its obligations under this Agreement; 3. Ineffective or improper use of funds provided under this Agreement; or 4. Submission by the Sub-Recipient to the Grantee reports that are incorrect or incomplete in any material respect. In accordance with 24 2 CFR 85.44Part 200 Subpart D §339, this Agreement may also be terminated for convenience by either the Grantee or the Sub-Recipient, in whole or in part, by setting forth the reasons for such termination, the effective date, and, in the case of partial termination, the portion to be terminated. However, if in the case of a partial termination, the Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate the award in its entirety.

Submission by the Recipient Subrecipient to the Grantee of reports that are incorrect untimely, incorrect, or incomplete in any material respect. In accordance with 24 CFR 85.44, this This Agreement may also be terminated for convenience by either the Grantee or the RecipientSubrecipient, in whole or in part, by setting forth the reasons for such termination, the effective date, and, in the case of partial termination, the portion to be terminated. However, if in the case of a partial termination, the termination Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate the award in its entirety.

In accordance with 24 2 CFR 85.44200 Appendix II (B), this Agreement may also be terminated for convenience by either the Grantee or the RecipientSubrecipient, in whole or in part, by setting forth the reasons for such termination, the effective date, and, in the case of partial termination, the portion to be terminated. However, if in the case of a partial termination, the Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the ; Grantee may terminate the award in its entirety.

Suspension or Termination. 1. In accordance with 24 CFR 85.43, the Grantee City may suspend or terminate this Agreement if the Recipient Contractor materially fails to comply with any terms of this Agreement, which include (include, but are not limited to), to the following: 1. a) Failure to comply with any of the rules, regulations or provisions referred to herein, or such statutesstatues, regulations, executive orders, and HUD guidelines, policies or directives as may become applicable at any time; 2. b) Failure, for any reason, of the Recipient Contractor to fulfill in a timely and proper manner its obligations under this Agreement; 3. c) Ineffective or improper use of funds provided under this Agreement; or 4. d) Submission by the Recipient Contractor to the Grantee CITY reports that are incorrect or incomplete in any material respect. . e) In accordance with 24 CFR 85.44, this Agreement may also be terminated for convenience by either the Grantee CITY or the RecipientContractor, in whole or in part, by setting forth the reasons for such termination, the effective date, and, in the case of partial termination, the portion to be terminated. However, if in the case of a partial termination, the Grantee CITY determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee CITY may terminate the award in its entirety.

However, if in the case of a partial termination, the Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate the award in its entiretyentirely.

However, if in the case of a partial termination, the Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate the award in its entirety. The Subrecipient agrees to comply with 24 CFR 84.2128 and agrees to adhere to the accounting principles and procedures required therein, utilize adequate internal controls, and maintain necessary source documentation for all costs incurred.

Suspension or Termination. In accordance with 24 2 CFR 85.43200.339, the Grantee may suspend or terminate this Agreement if the Recipient Sub-recipient materially fails to comply with any terms of this Agreement, which include (but are not limited to), ) the following: 1. Failure to comply with any of the rules, regulations or provisions referred to herein, or such statutes, regulations, executive orders, and HUD guidelines, policies or directives as may become applicable at any time; 2. Failure, for any reason, of the Recipient Sub-recipient to fulfill in a timely and proper manner its obligations under this Agreement; 3. Ineffective or improper use of funds provided under this Agreement; or 4. Submission by the Recipient Sub-recipient to the Grantee reports that are incorrect or incomplete in any material respect. In accordance with 24 Appendix II to CFR 85.44Part 200 (B) , this Agreement may also be terminated for convenience by either the Grantee or the RecipientSub-recipient, in whole or in part, by setting forth the reasons for such termination, the effective date, and, in the case of partial termination, the portion to be terminated. However, if in the case of a partial termination, the Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate the award in its entirety.

However, if in the case of a partial termination, the Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate the award in its entirety. VIII. ADMINISTRATIVE REQUIREMENTS A. Financial Management

Suspension or Termination. In accordance with 24 CFR 85.43, the Grantee GRANTEE may suspend or terminate this Agreement if the Recipient SUBRECIPIENT materially fails to comply with any terms of this Agreement, which include (include, but are not limited to), the following: 1. Failure to comply with any of the rules, regulations or provisions referred to herein, or such statutes, regulations, executive orders, and HUD guidelines, guidelines and HCD policies or directives as may become applicable at any time; 2. Failure, for any reason, of the Recipient SUBRECIPIENT to fulfill in a timely and proper manner its obligations under this Agreement; 3. Ineffective or improper use of funds provided under this Agreement; or 4. Submission by the Recipient SUBRECIPIENT to the Grantee GRANTEE reports that are incorrect or incomplete in any material respect. In accordance with 24 CFR 85.44GFR85A4, this Agreement may also be terminated for convenience by either the Grantee GRANTEE or the RecipientSUBRECIPIENT, in whole or in part, by setting forth the reasons for such termination, the effective date, date and, in the case of partial termination, the portion to be terminated. However, if in the case of a partial termination, the Grantee GRANTEE determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee GRANTEE may terminate the award in its entirety.

Submission by the Recipient Subrecipient to the Grantee reports that are incorrect or incomplete in any material respect. In accordance with 24 CFR 85.44, this Agreement may also be terminated for convenience by either the Grantee or the RecipientSubrecipient, in whole or in part, by setting forth the reasons for such termination, the effective date, and, in the case of partial termination, the portion to be terminated. However, if in the case of a partial termination, the Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate the award in its entirety.

In accordance with 24 CFR 85.44, this This Agreement may also be terminated for convenience by either the Grantee or the RecipientSubrecipient, in whole or in part, by setting forth the reasons for such termination, the effective date, and, in the case of partial termination, the portion to be terminated. However, if in the case of a partial termination, the termination Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate and recapture the award in its entirety.

Failure, for any reasonreason except those beyond Subrecipient’s control, of the Recipient Subrecipient to fulfill in a timely and proper manner its obligations under this Agreement; 3. Ineffective or improper use of funds provided under this Agreement; or 4. Submission by the Recipient Subrecipient to the Grantee of reports that are incorrect untimely, incorrect, or incomplete in any material respect. In accordance with 24 CFR 85.44, this This Agreement may also be terminated for convenience by either the Grantee or the RecipientSubrecipient, in whole or in part, by setting forth the reasons for such termination, the effective date, and, in the case of partial termination, the portion to be terminated. However, if in the case of a partial termination, the termination Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate the award in its entirety.

Failure, for any reason, of the Recipient First 5 to fulfill in a timely and proper manner its obligations under this Agreement; 3. Ineffective or improper use of funds provided under this Agreement; or 4. Submission by the Recipient First 5 to the Grantee reports that are incorrect or incomplete in any material respect. In accordance with 24 CFR 85.44, this Agreement may also be terminated for convenience by either the Grantee or the RecipientFirst 5, in whole or in part, by setting forth the reasons for such termination, the effective date, and, in the case of partial termination, the portion to be terminated. However, if in the case of a partial termination, the Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate the award in its entirety.

Failure, for any reason, of the Sub-Recipient to fulfill in a timely and proper manner its obligations under this Agreement; 3. Ineffective or improper use of funds provided under this Agreement; or 4. Submission by the Sub-Recipient to the Grantee reports that are incorrect or incomplete in any material respect. In accordance with 24 CFR 85.44, this Agreement may also be terminated for convenience by either the Grantee or the Sub-Recipient, in whole or in part, by setting forth the reasons for such termination, the effective date, and, in the case of partial termination, the portion to be terminated. However, if in the case of a partial termination, the Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate the award in its entirety.

Suspension or Termination. Submission by the Recipient Agency to the Grantee of reports that are incorrect untimely, incorrect, or incomplete in any material respect. In accordance with 24 CFR 85.4485.44 or 84.61, as applicable, this Agreement MOU may also be terminated for convenience by either the Grantee or the RecipientAgency, in whole or in part, by setting forth the reasons for such termination, the effective date, and, in the case of partial termination, the portion to be terminated. However, if in the case of a partial termination, the termination Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate the award in its entirety.

Failure to comply with any of the rules, regulations or provisions referred to herein, or such statutes, regulations, executive orders, and HUD guidelines, policies or directives as may become applicable at any time; 2. Failure, for any reason, of the Recipient Subrecipient to fulfill in a timely and proper manner its obligations under this Agreement; 3. Ineffective or improper use of funds provided under this Agreement; or 4. Submission by the Recipient Subrecipient to the Grantee reports that are incorrect or incomplete in any material respect. In accordance with 24 2 CFR 85.44200.339, this Agreement may also be terminated for convenience by either the Grantee or the RecipientSubrecipient, in whole or in part, by setting forth the reasons for such termination, the effective date, and, in the case of partial termination, the portion to be terminated. However, if in the case of a partial termination, the Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate the award in its entirety.

Suspension or Termination. In accordance with 24 2 CFR 85.43Part 200, the Grantee may suspend or terminate this Agreement if the Recipient Subrecipient materially fails to comply with any terms of this Agreement, which include (but are not limited to), ) the following: 1. : Failure to comply with any of the rules, regulations or provisions referred to herein, or such statutes, regulations, executive orders, and HUD guidelines, policies or directives as may become applicable at any time; 2. ; Failure, for any reason, of the Recipient Subrecipient to fulfill in a timely and proper manner its obligations under this Agreement; 3. ; Ineffective or improper use of funds provided under this Agreement; or 4. or Submission by the Recipient Subrecipient to the Grantee reports that are incorrect or incomplete in any material respect. However, if in the case of a partial termination, the Grantee determines that the remaining portion of the award will not accomplish the purpose for which the award was made, the Grantee may terminate the award in its entirety.

This Agreement may also be terminated for convenience by either the Lead Grantee or the RecipientSub- Grantee, in whole or in part, by setting forth the reasons for such termination, the effective date, and, in the case of partial termination, the portion to be terminated. However, if in the case of a partial termination, the Lead Grantee determines that the remaining portion of the award Agreement will not accomplish the purpose for which the award Agreement was made, the Lead Grantee may terminate the award Agreement in its entirety.
