The Sustainability Agent clause designates a specific party responsible for overseeing and coordinating sustainability-related obligations within a contract. This agent may monitor compliance with environmental standards, facilitate reporting on sustainability metrics, and act as a liaison between the contracting parties on sustainability matters. By clearly assigning these duties, the clause ensures accountability and effective management of sustainability commitments, helping to achieve agreed-upon environmental or social objectives.
Sustainability Agent. The Sustainability Agent will assist the Company in (i) determining the ESG Pricing Provisions in connection with any ESG Amendment and (ii) preparing informational materials focused on ESG to be used in connection with the ESG Amendment. In connection with the foregoing, the Company shall furnish the Sustainability Agent with information relevant to any proposed ESG Amendment as the Sustainability Agent may reasonably request in order to perform the services contemplated in its role as such. It is understood and agreed that the use of the term “agent” herein or in any other Loan Documents (or any other similar term) with reference to the Sustainability Agent is not intended to connote any fiduciary or other implied (or express) obligations arising under agency doctrine of any applicable law. Instead such term is used as a matter of custom, and is intended to create or reflect only an administrative relationship between contracting parties.
