Syndication Agreement. (i) On the execution date of this Supplementary Agreement, Xx. Xxxxxxxx and the Offeror shall execute a share syndication agreement regarding the Encumbered MA Shares (the “Syndication Agreement”), in the form attached as Annex A of this Supplementary Agreement. (ii) The terms and conditions set forth in the TOSA and in the Trust Agreement shall be as applicable to the Syndication Agreement, accordingly. (iii) The term of the Syndication Agreement shall be as stated in Section 2.2 of the Syndication Agreement.
