Syndication Transaction. A disposition by the Sponsor to any Person or Group, excluding Affiliates of the Sponsor, of not more than 25% of its Shares that occurs at any time within the first twelve (12) months following the date hereof at a sale price per Share that does not exceed 120% of the amount invested by the Sponsor in respect of such Shares (measured on a per-unit basis).
