SYSTEMS MANAGEMENT CONTROLS. A. AS IS SYSTEMS - With respect to the As Is Systems, ISSC will utilize existing Flagstar procedures as in use by Flagstar on the Commencement Date. ISSC will review such existing Flagstar procedures and may recommend changes in accordance with the Change Control Process.

BATCH MANAGEMENT - controlling production batch work including the scheduling of resources, including hardware and software resources, the processing of data and transactions and the distribution of data/information between users and facilities. Certegy instructions on what, when and how to schedule and recover shall be provided to IBM and documented in the Procedures Manual. Setup and scheduling shall be performed and controlled by IBM in cooperation with Certegy and in accordance with the Procedures Manual except for the automatic scheduling that will be performed by the Systems Software and Applications Software. Batch jobs run outside of the CA-7 batch processing system are the responsibility Certegy to support. B. CAPACITY MANAGEMENT - the maintenance of tactical and strategic plans to ensure that the mainframe environments accommodate Certegy's capacity plans and business requirements. The capacity management processes will require Certegy's input and review. As part of its capacity management responsibilities, IBM will monitor Certegy resource usage and make recommendations on how to reduce and/or improve resource usage and/or consumption. C. CHANGE MANAGEMENT - to assess timing or impact of the proposed changes to the production environment as limited to areas under IBM management including operating system and hardware changes, schedule the promotion into the production environment as appropriate, notify the appropriate functions and verify successful implementation. D. CONFIGURATION MANAGEMENT - for processing mainframe hardware and software configuration changes and maintaining lists and diagrams of systems configurations.
SYSTEMS MANAGEMENT CONTROLS. ISSC will provide to Comdata, and ISSC and Comdata will mutually agree on and use, the Systems Management Control ("SMC") Procedures as the standard set of disciplines for managing information systems. The SMC procedures shall be included in the Procedures Manual. ISSC will administer each SMC discipline. In general, ISSC's SMC responsibilities shall include the following processes: A. IBM will provide the ability ----------------------------- to facilitate batch traffic transmissions between Equipment operated by IBM and other remote workstations or End User Equipment. Setup and scheduling of these transmissions can be controlled by MSDW. IBM will assist MSDW with special requests by MSDW for batch transmission management.

The SMC procedures, in some combination, apply to all the Services provided, and they will be implemented, as described in this Schedule, to each Service being provided. The Procedures Manual will contain the SMC procedures. IBM's SMC responsibilities will consist of Configuration Management, Change Management, Performance Management, Problem Management; Capacity Planning; and Availability Management, as described herein.
