T ermination Charge. In the event of Termination or Withdrawal by You for convenience or by Lenovo for Your material breach, You shall pay an adjustment fee as defined hereafter (“Termination Charge”). The Termination Charges will apply as follows: - in case of Termination or Withdrawal within an initial minimum Term of less than one (1) year, the associated Termination Charges will be equal to the Service Charge for the entire initial minimum Term; - in case of Termination or Withdrawal within an initial minimum Term of at least one (1) year but less than two (2) years, the associated Termination Charges will be calculated on the basis of seventeen percent (17%) of the average annual Service Charge; - in case of Termination or Withdrawal within an initial minimum Term of at least two (2) years but less than three (3) years, the associated Termination Charges will be calculated on the basis of twenty-five percent (25%) of the average annual service Charge; - in case of Termination or Withdrawal within an initial minimum Term of at least three (3) years but less than four (4) years, the associated Termination Charges will be calculated on the basis of thirty-three percent (33%) of the average annual Service Charge; - in case of Termination or Withdrawal within an initial minimum Term of at least four (4) years but less than five (5) years, the associated Termination Charges will be calculated on the basis of forty-two percent (42%) of the average annual Service Charge. Third party indemnity32 The Tenant must indemnify the Landlord against all actions, claims, demands made by a third party, all costs, damages, expenses, charges and taxes payable to a third party and the Landlord’s own liabilities, costs and expenses incurred in defending or settling any action, claim or demand in respect of any personal injury or death, damage to any property and any infringement of any right, in each case arising from: the state and condition of the Premises or the Tenant’s use of them; the exercise of the Tenant’s rights; or the carrying out of any Permitted Works. In respect of any claim covered by the indemnity in clause 4.7.1, the Landlord must: give formal notice to the Tenant of the claim as soon as reasonably practicable after receiving notice of it; provide the Tenant with any information and assistance in relation to the claim that the Tenant may reasonably require and the Landlord is lawfully able to provide, subject to the Tenant paying to the Landlord all costs incurred by the Landlord in providing that information and assistance; and mitigate its loss (at the Tenant’s cost) where it is reasonable for the Landlord to do so.

  • Cancellation Charges Except as provided herein, no cancellation charges shall apply.

  • User Charges 1. User charges that may be imposed by the competent charging authorities or bodies of each Party on the airlines of the other Party shall be just, reasonable, not unjustly discriminatory, and equitably apportioned among categories of users. In any event, any such user charges shall be assessed on the airlines of the other Party on terms not less favorable than the most favorable terms available to any other airline at the time the charges are assessed. 2. User charges imposed on the airlines of the other Party may reflect, but shall not exceed, the full cost to the competent charging authorities or bodies of providing the appropriate airport, airport environmental, air navigation, and aviation security facilities and services at the airport or within the airport system. Such charges may include a reasonable return on assets, after depreciation. Facilities and services for which charges are made shall be provided on an efficient and economic basis. 3. Each Party shall encourage consultations between the competent charging authorities or bodies in its territory and the airlines using the services and facilities, and shall encourage the competent charging authorities or bodies and the airlines to exchange such information as may be necessary to permit an accurate review of the reasonableness of the charges in accordance with the principles of paragraphs 1 and 2 of this Article. Each Party shall encourage the competent charging authorities to provide users with reasonable notice of any proposal for changes in user charges to enable users to express their views before changes are made. 4. Neither Party shall be held, in dispute resolution procedures pursuant to Article 14, to be in breach of a provision of this Article, unless (a) it fails to undertake a review of the charge or practice that is the subject of complaint by the other Party within a reasonable amount of time; or (b) following such a review it fails to take all steps within its power to remedy any charge or practice that is inconsistent with this Article.
