T ermination upon Material Damage. If CII suffers Material Damage and the proceeds necessary to make such repairs or replacements are not available to Owner as a result of decisions made by third parties not controlled by Owner, either Owner or Operator may terminate this Agreement. Such termination shall be effective ninety (90) days after either Party provides the other Party with written notice of termination that specifies this subsection 11.3 as grounds for the termination.
