Take-Up and Payment Sample Clauses
Take-Up and Payment. Provided all conditions to the Offer set out in Schedule A to the Support Agreement have been satisfied or waived prior to the Expiry Time, the Offeror will take up and pay for all the Common Shares deposited under the Offer as soon as reasonably possible and in any event not later than three (3) Business Days following the time at which it first becomes entitled to take up such securities under the Offer pursuant to applicable Laws. The obligation of the Offeror to take up and pay for the Common Shares under the Offer shall not be subject to any conditions except those conditions set out in Schedule A to the Support Agreement.
Take-Up and Payment. Provided all conditions to the Offer set out in Schedule A to the Pre-Acquisition Agreement have been satisfied or waived prior to the Expiry Time, the Offeror will take-up and pay for all the Shares deposited under the Offer not later than three (3) business days (as such term is defined in Applicable Securities Laws) following the time at which it first becomes entitled to take-up such securities under the Offer pursuant to Applicable Securities Laws. The obligation of the Offeror to take up and pay for the Shares under the Offer shall not be subject to any conditions except those conditions set out in Schedule A to the Pre-Acquisition Agreement.

Subject to the terms and conditions hereof, the Purchaser agrees to take up the Shares deposited under the Offer as soon as possible and in any event within 3 business days of the expiry of the Offer and to issue the appropriate number of Noranda Common Shares as payment in accordance with the terms of the Offer and applicable Securities Laws.

Offer Price: $8.44 cash per Share. $9.53 cash per Series II Preference Share.

The obligation of the Offeror to take up and pay for the Common Shares under the Offer shall not be subject to any conditions except those conditions set out in Schedule A to the Support Agreement.

Subject to the terms and conditions hereof (including Schedule A) and of the Share Offer, (a) the Offeror agrees to take up the Shares deposited under the Share Offer on the first Business Day, and pay for the Shares not later than the third Business Day (the “Closing Date”), after it is legally entitled to take up in accordance with the Share Offer and the terms of this Agreement and (b) on the Closing Date, the Offeror shall make the Option Payment.
