Tandem Exhaust Clause Samples
The Tandem Exhaust clause establishes that the rights or obligations under a contract are only triggered or become effective when certain related conditions or actions occur in tandem with another event or agreement. In practice, this means that a party may not be able to exercise a particular right, such as termination or assignment, unless a corresponding right is exercised under a related contract or by another party. This clause is commonly used in complex transactions involving multiple agreements to ensure that actions affecting one contract are coordinated with others, thereby preventing unintended consequences or imbalances. Its core function is to synchronize contractual actions across related agreements, ensuring consistency and reducing the risk of disputes arising from uncoordinated or unilateral actions.
Tandem Exhaust. If a Tandem through which the Parties are Interconnected is unable to, or is forecasted to be unable to, support additional traffic loads for any Busy Season, the Parties will mutually agree on an End Office trunking plan that will alleviate the Tandem capacity shortage and ensure completion of traffic between CLEC and CBT Customers. For purposes of this Agreement, “Busy Season” means any three (3) consecutive month period.
