Targa Transactions. Prompt written notice (and in any event within two Business Days) of the consummation of the Targa Transactions, which notice shall include (i) a certification of the Borrower that attached to such notice is a true, correct and complete copy of the final, executed Separation Agreement and all material agreements executed in connection therewith and (ii) a designation by the Borrower of which entity shall constitute the “New Parent” and “Parent” hereunder from and after the consummation of the Targa Transactions.
