Common use of Target Guarantee Clause in Contracts

Target Guarantee. In the event that the Target does not merge with Bidco during the Clean Up Period, subject to applicable law, the Company shall use its best endeavours to procure that no later than expiry of the Clean Up Period, the Facility Agent has received all of the documents and other evidence listed in Part IV of Schedule 1 (Conditions precedent to be delivered by an Additional Guarantor) in form and substance satisfactory to the Facility Agent in respect of the Target.
