Common use of Target Stock Option Plans Clause in Contracts

Target Stock Option Plans. At the Effective Time, Target's Non-Qualified Stock Option Plan and Target's 1996 Stock Incentive Plan (collectively, the "Target Stock Option Plans") and all options to purchase Target Common Stock then outstanding under the Target Stock Option Plans shall be automatically assumed by Acquiror in accordance with, and subject to the terms and conditions of, Section 5.13.

Target Stock Option Plans. At the Effective Time, Target's Non-Qualified the Target 1998 Stock Option Plan and Target's 1996 1999 Stock Incentive Plan Plan, each as amended (collectivelytogether, the "Target Stock Option PlansTARGET STOCK OPTION PLAN") ), and all options to purchase Target Common Stock then outstanding under the Target Stock Option Plans Plan shall be automatically assumed by Acquiror in accordance with, and subject to the terms and conditions of, with Section 5.135.12.

At the Effective Time, Target's Non-Qualified Stock Option Plan and Target's 1996 the Target 1998 Stock Incentive Plan Plan, as amended and restated on April 27, 2000 (collectively, the "Target Stock Option PlansPlan") and all options to purchase Target Common Stock then outstanding under the Target Stock Option Plans Plan shall be automatically assumed by Acquiror in accordance with, and subject to the terms and conditions of, with Section 5.135.15.

At the Effective Time, Target's Non-Qualified the Target 1993 Stock Option Plan Plan, as amended and Target's the Target 1996 Stock Incentive Plan Plan, as amended (collectively, the "Target Stock Option Plans") and all options to purchase Target Common Stock (other than the Vested Options) that are then unexercised and outstanding under the Target Stock Option Plans shall be automatically assumed by Acquiror in accordance with, and subject to the terms and conditions of, with Section 5.135.12.

At the Effective Time, Target's Non-the Non- Qualified Stock Option Plan and Target's the 1996 Stock Incentive Plan (collectively, the "Target Stock Option Plans") and all options to purchase Target Common Stock then outstanding under the Target Stock Option Plans Plan shall be automatically assumed by Acquiror in accordance with, and subject to the terms and conditions of, with Section 5.135.14.
