Target Transaction Expenses. Following the Effective Time, Acquiror shall cause the Target Transaction Expenses to be paid.
Target Transaction Expenses. All Target Transaction Expenses for which the Holdcos or the Target may be liable after the Closing Date shall be paid on the Closing Date pursuant to Article 2 and if any such Target Transaction Expense is not paid on the Closing Date, the Owners shall be liable for and shall promptly pay such Target Transaction Expenses.
