Target Yield Determination. After Lonza has successfully manufactured [***] Batches [***] of a PS or DS Product for a specific serotype without incurring substantial materials losses (collectively, the “Target Yield Determination Batches”), the target yield for such PS or DS Product shall be established by [***] (each, a “Target Yield”). Thereafter, Lonza will exercise commercially reasonable efforts to maintain an actual annual yield level for each PS or DS product by serotype (the “Actual Annual Yield”) [***]. In the event that a statistically meaningful Target Yield cannot be readily established, Parties shall discuss in good faith a suitable path forward during a JSC meeting.
