Following the Closing and on or before the due date thereof, Seller will file or cause its Manager to file any tax returns and pay any taxes, employee withholding, worker’s compensation premiums, and any other amounts due to any governmental authority arising out of the operation of the Property due for the final period of Seller’s ownership that are necessary for Purchaser to obtain a clearance certificate from the State in which the Real Property is located.
