Common use of Tax Benefits Subsequently Denied Clause in Contracts

Tax Benefits Subsequently Denied. If any Tax Benefit realized pursuant to Section 4.3(c)(i) is subsequently denied, then D&B or Cognizant, as the case may be, shall refund the amount of any payment for such Tax Benefit within 30 days of its notification by D&B, ACNielsen or Cognizant, as the case may be, that a Final Determination has been reached denying the claimed Tax Benefit.
