Tax Clearance Certificate. A tax clearance certificate for each Borrower, issued by the appropriate agency of the state of incorporation for such Borrower and, if qualified to do business in the State of Hawaii, by the Department of Taxation of the State of Hawaii, certifying that all taxes due to the respective state by such Borrower, up to and including a date within 30 days of the Closing Date, have been paid.
