Tax Clearance Certificate. A tax clearance certificate for the Borrower and each Guarantor, issued as of no earlier than January 1, 2001, by the appropriate agency of the state of incorporation for such entity and, if qualified to do business in the State of Hawaii, by the Department of Taxation of the State of Hawaii, certifying that all taxes due to the respective state by such entity, up to and including the date of such certificate, have been paid.
