Tax Consequences of Indemnification. Capital One, Synovus and Parent agree that, for purposes of computing the amount of any indemnification payment under this Article VII, any such indemnification payment shall be treated as an adjustment to the Final Capital One Purchase Price or the Subsequent Closing Purchase Price, as the case may be, for all Tax purposes, except as otherwise required by the Code or any applicable Tax Law.
