Common use of Tax Implications Clause in Contracts

Tax Implications. The Developer acknowledges and represents that (a) neither the City nor any of its officials, employees, consultants, attorneys or other agents has provided to the Developer any advice regarding the federal or state income tax implications or consequences of this Agreement and the transactions contemplated hereby, and (b) the Developer is relying solely upon its own tax advisors in this regard.

Tax Implications. The Developer acknowledges and represents that (a1) neither the City nor any of its officials, employees, consultants, attorneys or other agents has provided to the Developer any advice regarding the federal or state income tax implications or consequences of this Agreement and the transactions contemplated hereby, and (b2) the Developer is relying solely upon its own tax advisors in this regard.

The Developer acknowledges Developer, the Company and represents Guarantor hereby acknowledge and agree that (a) neither the City nor any of its officials, employees, consultants, attorneys or other agents has provided to Developer, the Developer Company and/or Guarantor any advice regarding the federal or state income tax implications or consequences of this Agreement and the transactions contemplated hereby, and (b) the Developer is such parties are relying solely upon its their own respective tax advisors in this regard.

The Developer acknowledges and represents that (a1) neither the City Unified Government nor any of its officials, employees, consultants, attorneys or other agents has provided to the Developer any advice regarding the federal or state income tax implications or consequences of this Agreement and the transactions contemplated hereby, and (b2) the Developer is relying solely upon its own tax advisors in this regard.
