Common use of Tax Matters Coordination Clause in Contracts

Tax Matters Coordination. Notwithstanding anything to the contrary in this Agreement, indemnification with respect to Taxes and the procedures relating thereto shall be governed exclusively by this Article VI and the provisions of Article IX (other than Sections 9.1(a), 9.1(b), 9.1(c), 9.8 and 9.9) shall not apply. ARTICLE VII

Tax Matters Coordination. Notwithstanding anything to the contrary in this Agreement, indemnification with respect to Taxes and the procedures relating thereto shall be governed exclusively by this Article VI 7, Section 10.01, Section 10.02(b)(iv), Section 10.03(b)(iii), Section 10.05, Section 10.07 and Section 10.08, and the provisions of Article IX 10 (other than Sections 9.1(aSection 10.01, Section 10.02(b)(iv), 9.1(bSection 10.03(b)(iii), 9.1(c)Section 10.05, 9.8 Section 10.07 and 9.9Section 10.08) shall not apply.
