Common use of Tax on Prior Sales Clause in Contracts

Tax on Prior Sales. To the extent such certificates are prepared by the applicable state taxing authority, if applicable, Seller agrees to furnish to Buyer certificates from the state taxing authorities and any related certificates that Buyer may reasonably request as evidence that all sales and use tax liabilities of Colonial accruing before the Closing Date have been fully satisfied or provided for.
