Tax Payments Made by the Mtron Group. If any Mtron Indemnified Party is required to make a payment to a Tax Authority for Taxes allocated to LGL under this Agreement, LGL will pay the amount of Taxes allocated to it to Mtron not later than the later of (i) five (5) Business Days after receiving notification requesting such amount, and (ii) three (3) Business Days prior to the date such payment is required to be made to such Tax Authority.
