Tax Payments Made by the Splitco Group. If any member of the Splitco Group is required to make a payment to a Tax Authority for Taxes allocated to Distributing under this Agreement, Distributing shall pay the amount of Taxes allocated to it to Splitco not later than the later of (i) five (5) business days after receiving notification requesting such amount, and (ii) one (1) business day prior to the date such payment is required to be made to such Tax Authority.
