Tax Records. Lessor, Sprint and Lessee agree to furnish or cause to be furnished to each other, upon request, as promptly as practicable, such information and assistance relating to the Sites (including, without limitation, access to books and records) as is reasonably necessary for tax purposes. Lessor, Sprint and Lessee will retain all books and records with respect to Taxes indemnifiable under Section 39(b) or payable under Section 16 pertaining to the Sites for a period of at least seven (7) years following the close of the tax year to which the information relates, or sixty (60) days after the expiration of any applicable statute of limitations, whichever is later. At the end of such period, each Party will provide the other with at least sixty (60) days' prior written notice before destroying any such books and records, during which period the Party receiving such notice can elect to take possession, at its own expense, of any books and records reasonably required by such Party for tax purposes. Lessor, Sprint and Lessee will cooperate with each other in the conduct of any audit or other proceeding relating to Taxes involving the Sites.
