TAX RETURNS FOR POST-DISTRIBUTION PERIODS. SPINCO shall (a) prepare and file or cause to be prepared and filed all Tax Returns required to be filed by any member of the SPINCO Group for any Post-Distribution Period and (b) pay or cause to be paid any Tax Liability due with respect to such Tax Returns.
