Common use of Tax Shelter Registration Clause in Contracts

Tax Shelter Registration. Any action (or the intention to take an action) inconsistent with the representation in the last sentence of Section 6.9(a). Company acknowledges and agrees that the Lenders and Administrative Agent may treat the transactions contemplated hereby (or any single transaction contemplated hereby) as part of a transaction that is subject to Treasury Regulation Section 1.6011-4 or Treasury Regulation Section 301.6112-1, and such Lender or Administrative Agent, as applicable, may file such returns or maintain the lists and other records required by such Treasury Regulations. To the extent a Lender or Administrative Agent determines to maintain such list, Company and its Subsidiaries shall cooperate with the Lender and Administrative Agent in obtaining the information required under such Treasury Regulations.
