Taxes and Filings. The Company shall pay all taxes payable with respect to the issuance of the Membership Interests and shall make all appropriate filings required to be made by the Company with respect to the transactions contemplated by this Agreement.

Taxes and Filings. The Company shall pay all taxes payable with respect to the issuance of the Membership Interests Purchased Securities, provided that the Company shall not be required to pay any tax which may be payable in respect of any transfer involved in the issue and delivery of the Purchased Securities (or any part thereof) in a name other than that of the Investor. The Company shall make all appropriate filings required to be made by the Company under applicable laws with respect to the transactions contemplated by this Agreement.
